Control and Risks Committee

The Control and Risks Committee was established pursuant to articles 4 and 7 of the Code of Conduct for listed companies, prepared by the Corporate Governance Committee for listed companies established by Borsa Italiana S.p.A. .

The Control and Risks Committee consists entirely of independent Directors and mainly serves to support the Board of Directors, providing information, consultation, proposals and research, as the Board of Directors develops guidelines for the internal audit system and for assessing its efficacy and efficiency, so as to ensure that the main risks are properly identified, measured, managed and monitored, without prejudice to the Board of Directors' responsibility to take all decisions in this regard.

In addition, the Control and Risks Committee serves as the Related Party Transactions Committee, pursuant to CONSOB Regulation no. 17221 of 12 March 2010, and the Procedure for Transactions with Related Parties adopted by the Company. Procedure for Transactions with Related Parties.

The current members of the Control and Risks Committee were appointed by a Board of Directors resolution on 28 April 2017:
